Legal Notice for SharePoint Framework (SPFx) Application Usage

This SharePoint Framework (SPFx) application (“Application”) is provided by SharePoint Guru on behalf of Ghost Machine Software (“Provider”) and is made available through the Microsoft Commercial Marketplace under the Provider’s partner account. By installing, accessing, or using the Application, you (“User”) agree to the following terms:

1. License Grant

The Provider grants the User a non‑exclusive, non‑transferable, revocable license to use the Application within the User’s Microsoft 365 tenant. This license is limited to internal business use and does not permit resale, redistribution, or sublicensing of the Application.

2. No Affiliation with Microsoft

The Application is not developed, endorsed, or supported by Microsoft Corporation. Microsoft is not responsible for the Application’s functionality, performance, security, or compliance. All support requests must be directed to the Provider.

3. Data Handling & Privacy

The Application may process data stored within the User’s Microsoft 365 environment. The Provider does not access, store, or transmit User data outside the User’s tenant unless explicitly stated in the Application documentation. The User is responsible for ensuring compliance with all applicable data protection laws, including GDPR.

4. Security & Tenant Permissions

The Application requires certain SharePoint and Microsoft 365 permissions to operate. By installing the Application, the User acknowledges and accepts these permissions. The Provider is not liable for issues arising from misconfiguration, insufficient permissions, or tenant‑level policies.

5. Disclaimer of Warranties

The Application is provided “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non‑infringement. The Provider does not guarantee uninterrupted or error‑free operation.

6. Limitation of Liability

To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, business interruption, or loss of profits, arising from the use or inability to use the Application.

7. Updates & Modifications

The Provider may update, modify, or discontinue the Application at any time. Continued use after updates constitutes acceptance of the modified terms.

8. Termination

The Provider may terminate the User’s license if the User breaches these terms. Upon termination, the User must cease all use of the Application and remove it from their Microsoft 365 tenant.

9. Governing Law

These terms are governed by the laws of England and Wales, unless otherwise required by the User’s jurisdiction.

Licence grant and permitted use

Warranty disclaimer and limitation of liability

Subject to your compliance with these terms and the applicable Microsoft Marketplace terms, SharePoint Guru on behalf of Ghost Machine Software grants you a non-exclusive, non-transferable, revocable licence to use the SPFx app within the Microsoft 365 tenant or tenants for which the app was purchased. The licence permits internal business use only and does not authorise resale, sublicensing, distribution, modification, rental, timesharing or commercial hosting of the app except where expressly permitted in a separate written agreement with SharePoint Guru. You must not reverse engineer, decompile, disassemble or attempt to derive the source code of the app, nor remove or alter any proprietary notices. SharePoint Guru reserves the right to suspend or revoke the licence if you breach these terms or if required by Microsoft Marketplace policies.

The SPFx apps are provided as supplied and SharePoint Guru gives no warranties that the apps will be uninterrupted, error free or fit for any particular purpose unless otherwise stated in a separate written agreement. To the fullest extent permitted by law, SharePoint Guru excludes all implied warranties, including warranties of satisfactory quality and fitness for purpose. Except where liability cannot be excluded by law, SharePoint Guru's aggregate liability for any loss arising out of or in connection with the app shall be limited to the fees paid by you to SharePoint Guru for the relevant app in the twelve months immediately preceding the event giving rise to the claim. SharePoint Guru is not liable for indirect, special, incidental or consequential loss, including loss of profits, loss of business, loss of goodwill or loss of data. Nothing in this clause affects your statutory rights as a consumer where applicable.

Intellectual property rights

All intellectual property rights in the SPFx apps, associated documentation and any customisations developed by SharePoint Guru remain the property of SharePoint Guru or its licensors. Your purchase confers only the limited licence rights expressly granted above and does not transfer ownership of any intellectual property. Any feedback, suggestions or enhancement requests you provide may be used by SharePoint Guru without obligation to you, and SharePoint Guru will own any resulting developments unless otherwise agreed in writing. Use of Microsoft trade marks and logos remains subject to Microsoft's separate policies.

Indemnities, support, third-party components, data protection, governing law and contact

You agree to indemnify and hold SharePoint Guru harmless from third-party claims arising from your misuse of the app, unauthorised customisations, infringement of third-party rights resulting from your instructions, or breaches of law by your users. SharePoint Guru provides support and updates in accordance with the support plan purchased or the Marketplace listing description; routine maintenance, security updates and bug fixes may be supplied and deployed as part of normal service. SharePoint Guru is not obliged to provide custom development or extended support except under a separate agreement. The apps may include third-party components and open-source libraries licensed under their own terms; use of those components is governed by their respective licences and you agree to comply with them. For data protection, where SharePoint Guru processes personal data in providing support or telemetry, roles will be agreed in writing; typically you will be the data controller and SharePoint Guru the processor for support-related processing. SharePoint Guru implements appropriate technical and organisational measures to protect personal data in accordance with UK GDPR and the Data Protection Act 2018.

A Data Processing Addendum is available on request. These terms are governed by the laws of England and Wales and the courts of England and Wales will have exclusive jurisdiction.
